Elizabeth Uwaifo has over 25 years’ experience at various major City of London law firms advising on a wide variety of bilateral and syndicated loan agreements, debt and equity capital markets transactions; derivatives and other hedging agreements, and other corporate and commercial transactions and finance arrangements.  She was previously a senior Partner at Sidley Austin LLP, where she set up the firm’s derivatives practice in London, Partner at Fasken Martineau LLP, Vice President and senior in-house counsel at Union Bank of Switzerland and a Director at UBS Limited. Elizabeth’s early career was with Clifford Chance and Cameron Mckenna (formerly Cameron Markby Hewitt).

Elizabeth supports her clients in executing finance, corporate and commercial transactions. Her clients include banks, corporate, government, quasi-government and non-government institution. Her role has included 

  • structuring and documenting funding and investment contacts
  • negotiating and reviewing contracts, 
  • conducting due diligence reviews, 
  • research and analysis of legal or regulatory issues and
  • Liaising with local counsel to navigate local law issues.

Examples of Elizabeth’s representative experience includes:

  • Drafting, reviewing and negotiating trading documents including ISDA, GMRA, securities lending documentation for a multilateral bank
  • Acting as out-sourced general counsel to an international Chinese investor in Nigeria, managing the legal risks involved in their multi-million dollars investment in Nigeria; supporting the CEO and COO in managing the dispute in respect thereof 
  • Conducted a six months study of the laws and regulations including the corporate governance practices in the Nigerian capital markets and co-authored a report on recommendations for deepening the market
  • Advised on the structure and documentation of a range of simple and complex capital markets and structured finance transactions
  • Delivered seminars on a wide range of derivatives, capital markets and financial market transactional topics to audiences including investor groups, lawyers and financial institutions
  • Reviewing netting opinions and advising on the impact thereof on bank regulations
  • Taking security over property and other assets
  • Advised an international oil and gas company on structuring, documenting and negotiating a joint venture agreement with a local African oil and gas company
  • Reviewing the laws, regulations and policies in Malawi which facilitate investment in its agricultural value chain and producing a report to facilitate the client’s investment decision

Elizabeth graduated with a first-class degree in law from University College London and a BCL from Merton College, Oxford University. She qualified as a barrister of the Middle Temple in 1989 and re-qualified as a Solicitor of the Supreme Court of England and Wales in 1992.

Elizabeth’s transaction history covers many African jurisdictions including Nigeria, Ghana, Cote d’Ivoire, Botswana, Ethiopia, Malawi, South Africa, Namibia and Sudan. She has a unique understanding of local `markets and an appreciation of the legal, regulatory and business framework within which her clients work.

She has been a co-Chair of the Legal and Compliance Peer Advisory Group for 100 Women in Finance in London.
