Hamzah advises local and international clients on their corporate and commercial activities.

He is experienced in various aspects of the law in relation to private and public M&A, joint ventures, corporate structuring and regulatory matters, and provides general corporate consultancies.

Hamzah has practised law in three different jurisdictions in the Middle East (Jordan, Qatar and UAE) and advised on transactions across the region.

He has been heavily involved in high-profile transactions during his time at Freshfields, including the merger of First Gulf Bank and National Bank of Abu Dhabi. Hamzah has also advised a number of Freshfields’ clients on various transactions including Abraaj, Fajr Capital and Gulf Investment Corporation.

Hamzah is fluent in both Arabic and English.

Recent work

  • Advising First Gulf Bank on its merger with National Bank of Abu Dhabi, creating First Abu Dhabi Bank the largest bank in MENA region with $175bn of assets and a combined market capitalisation of approximately $29.1bn.
  • Advising Shree Cement Limited on its acquisition of 97%, and the take-private, of the share capital of Union Cement Company, the first cement producer in the UAE. The transaction involved the first delisting under the Commercial Companies Law of 2015.
  • Advising sovereign-backed, Shariah-compliant financial investor Fajr Capital on its cross-border acquisition of a controlling interest in Dubai-based Cravia Group, one of the region’s fastest growing food and beverage companies.
  • Advising a Qatari governmental entity on a QAR7bn acquisition.*
  • Advising a Qatar-based insurance company on a QAR110m acquisition.*
