Biography

Gustavo Alarcón has over 10 years of experience as a lawyer at renowned law firms in Mexico and the United States. He is a senior associate in the Firm’s Banking and Finance Practice Group in the Mexico City and Monterrey offices. He has extensive experience in domestic and cross-border credit transactions, capital markets, project financing and financial regulatory matters. Mr. Alarcon also taught Legal Theory at the Universidad Autónoma de Nuevo León from January 2003 to May 2004.

Practice Focus

Mr. Alarcón’s practice is focused on corporate finance, including syndicated and structured credit transactions and securitizations. He represents domestic and international financial entities and private equity funds in credit transactions and highly complex restructurings. Mr. Alarcón is also knowledgeable in the financing of infrastructure projects, asset and aircraft financing, leveraged buyouts, and insolvency proceedings. His practice also includes advising private and governmental entities in Public-Private Partnerships (PPP) and Projects for the Provision of Services (PPS).

Representative Legal Matters

 

  • Represented domestic financial entities in syndicated asset-backed credit transactions in Mexico.
  • Represented an important foreign financial entity in the restructuring of its loans with Mexican debtors and coordinated the sale of assets relating to the restructuring.
  • Advised a real estate investment fund on issuing stock certificates in Mexico.
  • Represented an important private equity fund in the leveraged buyout of a manufacturing company with substantial operations and assets in Mexico.
  • Represented foreign bank unions in the granting of asset-backed credit in various jurisdictions in Latin America.
  • Advised financial entities on aircraft purchase, leasing and financing in Mexico and the United States.
  • Represented an important real estate private equity fund in structuring its vehicles and their conversions with real estate developers.
  • Represented a Mexican developer in the bidding process for an infrastructure project under the PPP structure, and in obtaining the financing required for the development of the project.
  • Represented the governments of several Mexican states in bidding procedures under the PPS structure, and with the related collateral and payment mechanisms.
